Terms of Service

Welcome to Caliper. These Terms of Service (“Terms”) are a binding agreement between you and the operator of Caliper (“Caliper,” “we,” “us,” or “our”), an individual based in Israel. By creating an account or otherwise using the Caliper website, applications, and services (together, the “Service”), you agree to these Terms and to our Privacy Policy and Disclaimer, which are incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract. You may not use the Service if doing so is prohibited in your jurisdiction, or if you are subject to applicable sanctions or on any restricted-party list. By using the Service you represent that you meet these requirements and that all information you provide is accurate and kept up to date.

2. What Caliper is

Caliper is an informational and educational stock-analysis tool. It provides rankings, scores, fundamental indicators, discounted-cash-flow and other valuations, backtests, user-created watchlists, and AI-generated research, all derived from public and third-party data. The Service is a software product for your own analysis — it is not a trading venue, a brokerage, or a personalized advisory service.

3. Not investment advice; no regulated activity

Caliper is not a licensed investment adviser, investment marketer, or portfolio manager under Israel's Regulation of Investment Advice, Investment Marketing and Investment Portfolio Management Law, 5755-1995, and is not registered or licensed as an investment adviser, broker-dealer, or financial professional with the Israel Securities Authority or any regulator in any other jurisdiction. Nothing provided through the Service is investment, financial, legal, accounting, or tax advice, a recommendation, or a solicitation or offer to buy, sell, or hold any security or to make any investment or transaction. 4. No advisory or fiduciary relationship

Your use of the Service creates no fiduciary, advisory, agency, or professional relationship between you and Caliper. We do not manage your money, exercise discretion over your accounts, or place trades on your behalf.

5. Assumption of risk

Investing and trading involve substantial risk, including the possible loss of your entire investment. Prices can move rapidly and unpredictably, and past or hypothetical performance does not guarantee future results. You are solely responsible for your own investment decisions and for evaluating the merits and risks of any transaction, and you should consult a licensed financial, legal, or tax professional before investing.

6. Third-party and public data

The Service relies on third-party and public data sources (including market data, SEC/EDGAR filings, and news). Third-party providers, their availability, and the accuracy, timeliness, and completeness of their data are outside our control; we do not guarantee them and are not responsible for them. Third-party data is provided for your personal use only and may not be redistributed. Your use of any third party is also subject to that party's own terms.

7. AI-generated content

Some content is produced using artificial-intelligence models. AI output can be inaccurate, incomplete, biased, or fabricated, is not independently verified, and must not be relied upon as fact or as advice. Treat it as one informational input among many.

8. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security, legal, or fraud risk.

9. Subscriptions, trials, billing and taxes

Paid plans and any free trial are described on our Plans page. Paid subscriptions renew automatically for successive periods until cancelled, and you authorize recurring charges for the plan you select through our payment processor. Prices are exclusive of taxes (including VAT) unless stated, and you are responsible for applicable taxes. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law or expressly stated, fees are non-refundable. We may change plans, features, or pricing on reasonable prior notice, and continued use after a change takes effect constitutes acceptance.

10. Acceptable use

You agree not to: (a) use the Service unlawfully or for any purpose these Terms prohibit; (b) scrape, harvest, resell, redistribute, sublicense, or create derivative or competing products from the Service or its data; (c) reverse-engineer, decompile, interfere with, overload, or attempt to gain unauthorized access to the Service or its systems; (d) circumvent usage limits or security measures; or (e) misrepresent your identity or infringe the rights of others.

11. Intellectual property and licence

The Service — including its software, methodology, models, scoring, text, and design — is owned by Caliper and protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own, non-commercial investing. All rights not expressly granted are reserved. “Caliper” and related marks are our property.

12. Feedback

If you send us suggestions or feedback, you grant us a perpetual, worldwide, royalty-free licence to use it without restriction or obligation to you.

13. Availability, changes and beta features

We may modify, suspend, or discontinue any part of the Service at any time, and some features may be offered as previews or “beta” and provided on an “as is” basis. We do not guarantee that the Service will always be available or error-free.

Custom Lists and Notifications: You are solely responsible for monitoring your own investments. While the Service may allow you to create custom watchlists and filter market data based on your selections, we make no representations or warranties regarding the real-time accuracy, delivery, or reliability of any data, updates, or notifications related to your watchlists. Caliper is not responsible for any missed opportunities or losses resulting from delayed, missing, or inaccurate data within your saved lists.

14. Disclaimer of warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE, CURRENT, OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CALIPER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INVESTMENT LOSSES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $100. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

16. Indemnification

You agree to indemnify and hold harmless Caliper from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your investment decisions, your violation of these Terms, or your infringement of any right of a third party.

17. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at our discretion, including for breach of these Terms. Provisions that by their nature should survive termination (including Sections 3–7 and 11–20) will survive.

18. Governing Law, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT SIGNIFICANTLY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

Governing Law: These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws rules.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use thereof, shall be resolved exclusively by binding arbitration, rather than in court. The arbitration shall be seated in Tel Aviv-Yafo, Israel, and conducted in the English language. If you are a resident of the United States, you and Caliper agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

Class Action Waiver: YOU AND CALIPER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

Exceptions: Notwithstanding the above, either party may bring an individual action in small claims court (if the claims qualify) and may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

19. Changes to these Terms

We may update these Terms from time to time. We will indicate material changes by updating the date above and, where appropriate, by other reasonable notice. Your continued use after changes take effect constitutes acceptance.

20. General

If any provision is found unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent. Our failure to enforce a provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control. You consent to receive communications from us electronically. These Terms, together with the Privacy Policy and Disclaimer, are the entire agreement between you and us regarding the Service.
